THIS\u00a0WATS\u00a0ON-PREMISES\u00a0SUBSCRIPTION\u00a0AGREEMENT\u00a0(this \u201cAGREEMENT\u201d) CONSTITUTE A CONTRACT BETWEEN YOU AND VIRINCO (OWNER OF WATS, WATS.COM, skyWATS.COM) AND GOVERNS YOUR\u00a0PURCHASE\u00a0AND USE OF OUR\u00a0SERVICE.\u202f\u00a0<\/strong><\/p>\n

By accepting this agreement,\u00a0or by accessing or using\u00a0Our Service or site, or\u00a0authorizing a User or WATS client to access or use the Service,\u00a0You\u00a0agree to the terms of this agreement.<\/strong><\/p>\n

If You are entering into this agreement on behalf of a company or other legal entity,\u00a0You\u00a0agree\u00a0that You have the authority to bind such entity and its affiliates to these terms and conditions, in which case the terms \u201cYou\u201d or \u201cYour\u201d shall refer to such entity and its affiliates. If You do not have such authority, or if You do not agree with these terms and\u00a0conditions, You must not accept this agreement and may not use the\u00a0Service.<\/p>\n

You\u202fmay not\u202faccess the Service if You are Our direct competitor, except with Our prior written consent. 1.DEFINITIONS<\/h3>\n

You<\/span><\/b>\u202for\u202f<\/span>Your<\/span><\/b>\u202fmeans the company or other legal entity for which you are accepting this Agreement.<\/span>\u00a0<\/span><\/p>\n

Virinco\u202f<\/span><\/b>means Virinco AS, with company address Gr\u00f8nland 1, 3045 Drammen, Norway. Virinco owns the WATS product and hosts the WATS.com and skyWATS.com Service. In this Agreement, Virinco may also be referred to through the use of \u201cWe\u201d, \u201cUs\u201d and \u201cOur\u201d.<\/span>\u00a0<\/span><\/p>\n

WATS<\/span><\/b>\u202fmeans the product developed by Virinco.<\/span>\u00a0<\/span><\/p>\n

WATS.com\u202f<\/span><\/b>or<\/span>\u202fskyWATS.com<\/span><\/b>\u202fmeans the cloud\u00a0Service where Virinco offer WATS as a\u00a0SaaS\u00a0Solution.<\/span>\u00a0<\/span><\/p>\n

WATS Client\u202f<\/span><\/b>means the software installed on a computer (ATE\/Test Station) and communicate data with Our\u00a0Service.\u00a0WATS Client Development license and \u201cdevelopment\u201d computers mean ATE\/Test Station solely used for software \u2013 or test equipment \u2013 development and not running (but not limited to) production or laboratory testing.<\/span>\u00a0<\/span><\/p>\n

ATE\/Test Station<\/span><\/b>\u202fmeans Automatic Test Equipment, or a\u00a0Computer, that executes automatic, semi-automatic or manual test on a Unit.<\/span>\u00a0<\/span><\/p>\n

Browser<\/span><\/b>\u202fmeans the application used at Your computer to view and react with web applications and materials.<\/span>\u00a0<\/span><\/p>\n

Service(s)\u202f<\/span><\/b>means the products and services that are ordered by You, installed\u00a0On-Premises\u00a0and\/or other web pages designated by Us, including the WATS\u00a0Client\u00a0and associated offline components. Service(s) may also be referred to\u00a0through the use of\u00a0\u201cAccount\u201d.<\/span>\u00a0<\/span><\/p>\n

Service Endpoint<\/span><\/b>\u202fmeans a web service URL or similar used for communication between Service and Clients.<\/span>\u00a0<\/span><\/p>\n

Plan\u00a0<\/span><\/b>means<\/span>\u00a0<\/span><\/b>the license model You subscribe to.<\/span>\u00a0<\/span><\/p>\n

User(s)<\/span><\/b>\u202fmeans individuals who are authorized by You to use the Service, for whom subscriptions to a Service have been ordered, and who have been supplied user identifications and passwords by You (or by Us at Your request). Users may include but are not limited to Your employees, consultants, contractors and agents, and third parties with which You transact business.<\/span><\/p>\n

Size of Processed Data<\/span><\/b>\u00a0means the Megabyte size of XML data transmitted to the WATS\u00a0Service<\/span><\/p>\n

Quota<\/span><\/b>\u00a0means the included pre-paid Size of Processed Data in your WATS Service subscription plan.<\/span><\/p>\n

Overconsumption<\/span><\/b>\u00a0means the Size of Processed Data in excess of the included Quota of your WATS Service subscription.\u00a0<\/span><\/p>\n

Data Rollover<\/span><\/b>\u00a0means that\u00a0unused\u00a0remaining Quota can be carried forward to the next month, with an upper limitation of one month\u2019s Quota size<\/span>.\u00a0<\/span><\/b><\/p>\n

Service Hours<\/span><\/b>\u00a0means Monday to Friday 08.00 to 16.00 CET.<\/span>\u00a0<\/span><\/p>\n

2. GENERAL CONDITIONS; ACCESS TO AND USE OF THE SERVICE<\/h3>\n

The Agreement gives You access and right to use the Service during the Agreement term with such functionality as the Service has at any time.<\/span>\u00a0<\/span><\/p>\n

Virinco retains all rights to all elements the Service consists of. You are not awarded any license or any usage right beyond what is expressed\u00a0or stated in this Agreement. As an integral part of this Agreement,\u00a0You\u00a0shall have the right to receive support as defined in clause 6 of this Agreement.<\/span>\u00a0<\/span><\/p>\n

The WATS Client uses\u00a0web service\u00a0or similar and requires access to Your Service Endpoint. There are numerous options to interface WATS with Your test software. Please see\u00a0applicable\u00a0documentation. Refer to the WATS Client documentation for Hardware and Software requirements.<\/span>\u00a0<\/span><\/p>\n

3. TERM OF THE AGREEMENT<\/h3>\n

This Agreement commences on the date You accept it and until terminated by any of the parties according to the provisions in clause 12.\u00a0<\/span><\/span>\u00a0<\/span><\/p>\n

4. LIMITED USAGE<\/h3>\n

You can solely use the Service for Your internal purposes. You are not entitled to perform data processing on behalf of a third party using the\u00a0Service, unless explicitly approved by Virinco. You commit Yourself to use the Service according to the applicable law and regulations, permissions and requirements in the Agreement and agree not to (a) license, sublicense, sell, resell, rent, lease, transfer, assign, distribute, time share or otherwise commercially exploit or make the Service available to any third party, other than as expressly permitted in the Agreement.<\/span>\u00a0<\/span><\/p>\n

You are responsible for the data,\u00a0materials\u00a0and the information that You, Users or the WATS Client process with the Service.<\/span>\u00a0<\/span><\/p>\n

4.1 WATS ON-PREMISES LICENSE MODEL
\n<\/strong><\/p>\n

The following applies to all customers\u00a0entering this Agreement\u00a0after\u00a0December\u00a01<\/span>st<\/span>\u00a02021, or\u00a0existing customers who has opted to\u00a0migrate to the latest license model.\u00a0\u00a0<\/span>\u00a0<\/span><\/p>\n

4.1.1<\/span>.\u00a0<\/span>Users<\/span>\u00a0<\/span><\/p>\n

A\u00a0User\u00a0will login using private credentials\u00a0and may only be logged in from one\u00a0location (Browser session) at the time.\u00a0<\/span>\u00a0<\/span><\/p>\n

4.1.2<\/span>.\u00a0<\/span>WATS Client<\/span>\u00a0<\/span><\/p>\n

The WATS Client can be downloaded and installed locally at the ATE\/Test Station. The Clients are free of charge, the subscription will be billed according to the amount of data transferred to the\u00a0Service, independent of how many Clients are being used.<\/span>\u00a0<\/span><\/p>\n

4.1.3.\u00a0Quota and\u00a0Size of Processed Data<\/span>\u00a0<\/span><\/p>\n

You are responsible to monitor the\u00a0Size of Processed Data\u00a0and make necessary adjustments to Quota\u00a0to\u00a0reduce the cost of\u00a0Overconsumption.\u00a0Virinco\u00a0requires bi-annual audits of\u00a0Processed Data.<\/span>\u00a0<\/span><\/p>\n

4.1.4.\u00a0Data Rollover<\/span>\u00a0<\/span><\/p>\n

Plans include\u00a0monthly\u00a0Data Rollover.\u00a0Limited\u00a0to\u00a0one extra\u00a0monthly Quota.<\/span><\/p>\n

5. ERRORS AND ERROR NOTICES<\/h3>\n

There is an error\u00a0<\/span>if the Service has reduced\u00a0<\/span>functionality<\/span>\u00a0and this is caused by circumstances Virinco is responsible for. When an error occurs,\u00a0<\/span>You<\/span> shall notify Virinco by e-mail (support@virinco.com) and provide a description of the error and the circumstances of its occurrence.<\/span><\/p>\n

6. SUPPORT & MAINTENANCE<\/h3>\n

6.1. Support<\/span>\u00a0<\/span><\/p>\n

You shall have the right to receive email support. Virinco support\u00a0can be contacted\u00a0by e-mail (support@virinco.com) or using\u00a0Virinco\u2019s\u00a0support center including FAQ and knowledgebase (support.virinco.com)\u00a024\u00a0hours a day, 7 days per week and\u00a0365\u00a0days\u00a0per\u00a0year.\u00a0User should\u00a0normally\u00a0receive support response within 24 hours after a problem is reported. Requests received out of Service Hours\u00a0will be collected, however no action can be\u00a0guaranteed until the next business day.\u00a0Demand for immediate response will be provided and charged according to current support rate.\u00a0<\/span><\/p>\n

Error and bug fix will be handled\u00a0remotely,\u00a0and User must grant Virinco access to the necessary equipment (servers \/ stations \/ computers).<\/span>\u00a0<\/span><\/p>\n

Support includes\u00a0Virinco\u2019s\u00a0best effort in solving Service problems based on a detailed description of the problem, provided by You. Finding a solution is not guaranteed.\u00a0Administration or configuration of the Service for You is not included in the Agreement.<\/span>\u00a0<\/span><\/p>\n
